These Terms & Conditions establish the governing framework for the commercial relationship between FootwearBulk.in (the seller) and trade buyers (the purchaser), providing the foundation for all business transactions unless expressly superseded by alternate written agreements executed by authorized representatives of both parties. By placing an order with FootwearBulk.in, buyers explicitly confirm their acceptance and agreement to abide by these comprehensive terms.
All orders must comply with the applicable Minimum Order Quantity for the selected product category and specific SKUs, which are clearly detailed in product documentation, formal quotations, and our online catalogue where applicable. MOQ requirements vary based on factors including product complexity, material sourcing, production batch economics, and whether items are from existing inventory or require dedicated production runs. Orders that fail to meet the specified MOQ may be declined or, at our discretion, may be accepted subject to additional handling charges or price adjustments that reflect the economics of smaller batch processing. Customized MOQ arrangements can be negotiated for ongoing supply relationships through documented written agreements signed by duly authorized representatives of both organizations, typically requiring demonstrated commitment to regular purchasing patterns or volume guarantees over specified periods.
All collected data serves strictly defined business operations purposes. We use partner information for processing quotation requests and sales orders, generating accurate invoices and financial documentation, coordinating shipments and managing logistics across various transportation channels, providing responsive customer support and addressing inquiries, maintaining order histories to facilitate repeat purchasing and track preferences, and conducting internal business analytics to improve our service quality. We may utilize aggregated, non-identifying data for purposes such as improving our product procurement strategies, forecasting market demand patterns, optimizing our inventory, and enhancing our catalogue selection to better serve market needs. We explicitly do not use partner data for unsolicited promotional activities, marketing campaigns, or any form of commercial outreach without explicit prior permission from the partner.
All prices are stated in formal written quotations and are exclusive of applicable taxes, duties, and freight charges unless explicitly noted otherwise in the quotation documentation. Quotation price validity periods are clearly specified in each quotation document, typically ranging from 7 to 30 days depending on market conditions and product categories, after which prices are subject to revision based on changes in raw material costs, currency fluctuations, or other relevant commercial factors. New buyers and first-time transactions typically require full advance payment or a substantial deposit, often ranging from 50% to 100% of order value, to initiate production scheduling or inventory allocation. Established buyers who have demonstrated consistent payment reliability and maintained good commercial standing may be extended credit facilities following comprehensive verification processes and execution of documented credit terms agreements that specify credit limits, payment schedules, and consequences of default. Accepted payment instruments include direct bank transfers to our designated accounts, demand drafts drawn on recognized banking institutions, and for qualified buyers with approved credit terms, documentary credits or other structured payment arrangements. All payment timelines, deposit percentages, and credit terms are clearly defined in sales contracts and order confirmations to prevent ambiguity or disputes.
Goods are dispatched within mutually agreed lead times that accommodate both our stock availability and production schedules, as well as the buyer's inventory planning requirements. These timelines are confirmed in writing at the time of order acceptance and are subject to force majeure conditions including but not limited to natural disasters, labor disputes, transportation disruptions, or government restrictions. Large consignments exceeding certain volume thresholds may be dispatched through multiple partial shipments to optimize logistics efficiency, manage transportation capacity, or accommodate buyer storage capabilities, with each shipment being separately documented and potentially invoiced independently. Unless specifically agreed otherwise through alternate contractual arrangements or different Incoterms specified in the sales contract, risk of loss or damage to goods transfers from FootwearBulk.in to the buyer at the moment goods are handed over to the designated carrier for dispatch. For international shipments crossing customs boundaries, buyers assume full responsibility for import duties, local taxes, customs clearance procedures, and compliance with destination country regulations, unless explicitly agreed otherwise in writing.
Buyers have an obligation to thoroughly inspect all received goods upon delivery and must report any claims related to damage during transit, quantity shortages, quality non-conformity to specifications, or other material discrepancies within the specified claim window detailed in sales documents, typically seven calendar days from the delivery date. All claims must be substantiated with appropriate supporting evidence including high-resolution photographs clearly showing the specific issues, complete batch identification details from product labels and packaging, and detailed written descriptions of the nature and extent of problems encountered. Following receipt of a properly documented claim, FootwearBulk.in conducts a thorough verification process and proposes appropriate remediation which may include replacement of defective goods at our expense, partial credit adjustments reflecting the extent of issues, or full refund with return of unusable products. Claims that are unsubstantiated by adequate evidence, submitted after the designated claim window expires, or are determined through investigation to result from buyer mishandling or storage issues may be declined and could affect future commercial terms including credit facilities or priority allocations.
FootwearBulk.in's total liability for any claims arising from product defects, supply issues, or other matters related to our commercial relationship is strictly limited to the invoice value of the specific affected goods that are the subject of the claim. Under no circumstances shall FootwearBulk.in be liable for indirect, consequential, incidental, or punitive damages including but not limited to lost profits, business interruption, loss of goodwill, damage to reputation, or third-party claims, unless such liability is explicitly mandated by applicable statutory law that cannot be contractually limited. Buyers agree to indemnify and hold harmless FootwearBulk.in against any claims, damages, or losses arising from the buyer's misuse of products, improper storage or handling, unauthorized modifications or alterations to products, resale of products for purposes other than their intended use, or any violation of applicable laws or regulations in the buyer's jurisdiction. This indemnification obligation survives termination of the business relationship.

Any disputes, controversies, or claims arising out of or relating to these terms or any transaction shall be subject to the exclusive jurisdiction of the courts located in Delhi, India, unless the parties have agreed otherwise in a separate written dispute resolution agreement. Notwithstanding the foregoing, both parties are strongly encouraged to pursue amicable resolution of disputes through good-faith negotiation and, if necessary, professional mediation before initiating formal legal proceedings.
